The affected companies were found to have breached statutory obligations under the Companies Act (Cap. 486), including failure to file annual returns, ceasing operations, or non-compliance with regulatory requirements.
Companies Already Dissolved
Gazette Notice No. 13207 confirms the immediate striking off of 84 entities such as Abuseif Beans Importer Limited, Africom Communication Limited, Agrofield Export and Import Limited, Jumeira Specialist Clinic Limited, Thika Petroleum Limited, and Wild Eden Limited. These businesses span various sectors including agriculture, transport, hospitality, and real estate.
Over 1,000 Firms Warned
Gazette Notices Nos. 13208, 13209, and 13210 list companies given a three-month period to show cause why they should not be dissolved. Notably, more than 700 companies bearing the prefixes 'Afri-' or 'Afro-' appear on these lists, reflecting a pattern of mass registrations under these names.
Examples include Akreen Investments Limited, Al-Jawab Development Limited, Halpe Tea Kenya (Epz) Limited, Mars Auto Garage Company Limited, Africa Waterlines Company Limited, Africom Contractors Limited, Afri-Fresh Limited, and Afriken Petroleum Company Limited.
Implications for Directors
Companies that fail to respond within the stipulated three-month window will be formally dissolved, ceasing to exist as legal entities. Assets held by such companies may revert to the state as bona vacantia, or ownerless property.
Additionally, under Section 900 of the Companies Act, directors of dissolved companies risk disqualification from holding directorships in the future, posing significant consequences for individuals linked to non-compliant firms.
